What the license means for you

A right to use. Nothing more.

Everyday examples, each with the clause that says it. A summary in plain words, not the license: the agreement governs.

You may

  • Install it on every computer you own or control: your laptop, your desktop, your work PC.2(b)
  • Use it at no cost. No fee, no subscription, no key, no sign-up.2
  • Use it at work, for paid client projects and in production.2(c)
  • Keep and sell what it makes for you: code, graphs, reports, exports, data.2(d) 5
  • Name it in a review, an article or your own documentation.2(e)
  • Read the Stryx Labs sites and link to their pages.2(f)
  • Keep the version you have. Updates are your choice.8
  • Ask in writing for anything the license does not give.17

You may not

  • Take it apart to get at its code, except where the law expressly allows it.3(g)
  • Pose as Stryx Labs, or say it backs or partners with you when it does not.3(c) 3(k)
  • Use it to attack or overload the sites, or to break the law.3(c)

Questions

Asked, and answered.

Answers in plain words, with the sections that carry them. Not the license.

Can I use it at work?

Yes. The license covers internal business operations, commercial use and production deployment (section 2(c)), on as many computers as you or your company own or control (section 2(b)). If you accept the agreement for a company, the company is bound by it too (section 1).

Who owns what it makes for me?

You do. The code, reports, documents and data the Software makes from your own work belong to you, and you may use them for any lawful purpose, commercial work included (section 5). The Software itself is never yours: it is licensed, not sold (section 4), and a copy of its own text, such as a skill or a list of its prompts, is never output.

Can I share it with my team or a friend?

Send them to stryxlabs.com. Each person downloads it from an Official Channel (section 2(a)). Handing over your copy, a single skill file, a mirror, or an install script hosted anywhere else is redistribution, and section 3(d) forbids it.

Can I use it with my AI tools?

Yes, as it is built to be used: running the Software inside the AI tools it is made for, on your own work, is allowed (section 3(e)). Using it to train, fine-tune or test an AI model, putting it in a dataset, or pasting its private parts into a service that may store or learn from them is not (section 3(e) and section 6).

What happens if someone copies it?

Copying it for others, rebranding it or reselling it breaks section 3. The license then ends automatically, without notice (section 9). They must stop using it, destroy every copy and every rewrite, also in backups, datasets and AI models they control, and confirm that in writing within ten days if Stryx Labs asks. The rules on copying and ownership keep binding them after the license ends.

Stryx Labs may ask a court to stop the copying, have the copy taken down at any host that carries it, and, if it obtains any relief, recover its reasonable legal fees (section 14).

How do I report a copy?

Write to [email protected], the address the agreement names for reports of misuse (section 17). Send the link, what was copied, the date you found it with a screenshot, and your name and email. Stryx Labs reviews each report; it does not promise a reply to every one.

Can I see or change the source code?

You can read the skill files once they are installed, but a file you can read is still not public, and not free to copy or reuse (section 4). The source code of the compiled parts is proprietary and confidential. You may not change any part of it (section 3(a)) or reverse engineer it (section 3(g)), except as far as the law where you are expressly allows.

Does it send my data anywhere?

No. The Software is designed to run entirely on your own device. Stryx Labs collects no telemetry, usage data, error reports or code content from its ordinary operation, and it connects to the network only when you ask it to (section 10).

Report misuse

Seen our work under another name?

Tell us. Copies, rebrands and resales of the Software, the sites or the marks, and their use to train AI, go to the one address the agreement names for them.

[email protected]

It helps to send:

  1. the link where you found it
  2. what was copied
  3. the date, with a screenshot
  4. your name and email

STRYX LABS LICENSE AGREEMENT

Version 1.1

Effective MMXXVI

This License Agreement ("Agreement") is a legal contract between you ("Licensee" or "you") and STRYX LABS ("Licensor", "Stryx Labs", or "Stryx"), the owner of the Software and the Website Content described below. By downloading, installing, accessing, or using the Software, or by accessing or using the Website Content, you agree to be bound by the terms of this Agreement. If you do not agree, do not install, copy, access, or use the Software or the Website Content.

IN SHORT: this Agreement lets you USE the Software, free of charge, on any number of your own devices, for personal or commercial work, and what the Software produces for you is yours. It does NOT let you own, copy, share, rebrand, rewrite, or train AI models on the Software, or misuse it. The binding terms are the numbered sections below; this summary is not a term.

1. DEFINITIONS

"Software" means any software product, content, or material distributed or made available by Stryx Labs under this Agreement, in any form (compiled, source, plain text, or otherwise), including but not limited to StryxLabs Skills Lite, Mneme, and Orion, together with all of the following:

  1. (a) all binaries, executables, libraries, command-line tools, scripts, installers, hooks, and configuration files;
  2. (b) all Skill Content;
  3. (c) all Brain Data;
  4. (d) all documentation, manuals, guides, icons, and accompanying materials;
  5. (e) all updates, new versions, and copies of any of the above, in whole or in part.

"Skill Content" means the skills, agents, commands, prompts, prompt templates, instructions, rule files, routing tables, reference documents, checklists, examples, and any other text or data files that instruct, configure, or guide an artificial intelligence system and that are distributed by Stryx Labs, including their structure, sequence, selection, arrangement, and wording.

"Brain Data" means the program commonly called the Stryx brain, and all indexes, knowledge cards, laws, recipes, catalogs, registries, journals, datasets, and other data that it ships with or that Stryx Labs supplies to it.

"Website Content" means everything published on the Official Channels, including but not limited to page designs, layouts, visual compositions, 3D scenes, 3D models, shaders, animations, motion design, code (HTML, CSS, JavaScript, and any other code), text, copy, names, images, illustrations, icons, logos, videos, and the selection, arrangement, and use of music and sound.

"Official Channels" means the websites stryxlabs.com and its subdomains, including mneme.stryxlabs.com, and any other domain or subdomain explicitly designated by Stryx Labs as an official distribution endpoint, and the official release artifacts and install commands hosted on those domains.

"Output" means the content that the Software produces for you when you run it on your own work, such as code, graphs, reports, exports, documents, and processed data. Output does not include any part of the Software itself, such as Skill Content or Brain Data, whether copied in full, in part, or in paraphrased form.

"Use" means to install and run the Software, and to view the Website Content, for their intended purpose, as permitted in section 2.

"Derivative Work" means any work that is based on, derived from, or adapted from the Software or the Website Content, or any part of either, including any modification, adaptation, translation into another language, summary, paraphrase, rewording, reorganization, port, re-implementation, or "rewritten", "inspired", or "clean-room" version that was made with access to the Software or the Website Content.

"AI Model" means any machine learning model, large language model, neural network, embedding index, retrieval system, agent, or other artificial intelligence system, and any dataset intended to build, train, or test one.

"Trademarks" means the names and logos of "Stryx", "Stryx Labs", "Mneme", "Orion", "StryxLabs Skills Lite", the Stryx owl mark, the Mneme three-node graph mark, and any other marks identifying products, services, or origin of Stryx Labs.

"You" or "your" refers to any individual or legal entity that downloads, installs, accesses, or uses the Software or the Website Content. If you accept this Agreement on behalf of an entity, "you" includes that entity, and you state that you have authority to bind it.

2. GRANT OF LICENSE: A RIGHT TO USE ONLY

Subject to your continued compliance with this Agreement, Stryx Labs grants you a worldwide, non-exclusive, non-transferable, non-sublicensable, royalty-free, revocable license to:

  1. (a) download the Software from Official Channels;
  2. (b) install the Software on any computing device that you own or control, in any quantity, without per-seat fee or activation requirement;
  3. (c) use the Software for any lawful purpose, including personal use, educational use, academic research, internal business operations, commercial use, and production deployment;
  4. (d) retain and use the Output produced by the Software (such as code, graphs, reports, exports, and processed data) without restriction, including for commercial purposes, as set out in section 5;
  5. (e) reference the Software by name in non-misleading contexts, such as product reviews, technical articles, and integration documentation;
  6. (f) view the Website Content in a web browser for your personal, non-commercial information, and link to pages of the Official Channels.

This license is a right to USE only. It grants no ownership of the Software or the Website Content, no right to copy them except the copies that installation, normal operation, and your own private backups on devices you own or control technically require, and no right to modify them.

No license fee, subscription, activation key, or registration is required for the rights granted above. The Software is provided to you at no cost.

3. RESTRICTIONS

You may NOT, and you may not permit, help, or instruct any third party or any AI Model to:

  1. (a) USE BEYOND THE LICENSE. Claim any ownership of the Software or the Website Content; copy, reproduce, download in bulk, or store any part of them except as section 2 expressly permits; or modify, edit, patch, or alter any part of them, including Skill Content, Brain Data, scripts, and hooks;
  2. (b) REBRAND OR CLAIM AS YOUR OWN. Rebrand, white-label, rename, or re-skin the Software or any part of it; remove, replace, or obscure the Stryx Labs name, Trademarks, credits, or notices; or present, publish, sell, or describe the Software, any part of it (including any skill, agent, prompt, the brain, or any site design, 3D scene, or page), or any Derivative Work, as your own work or under any name other than the Stryx Labs name;
  3. (c) MISUSE. Use the Software or the Website Content (i) in violation of applicable law; (ii) to cause harm to any person, system, or data, including malware, fraud, harassment, or unauthorized access; (iii) against Stryx Labs, including to attack, disrupt, overload, or probe the Official Channels or to harm its reputation through false statements; (iv) to impersonate Stryx Labs, its founders, or its products; (v) to state or suggest any endorsement, sponsorship, affiliation, or partnership with Stryx Labs that does not exist in writing; (vi) in connection with the development of weapons of mass destruction; or (vii) in life-critical systems where failure could result in death or serious bodily harm, or in any manner that infringes the rights of any third party;
  4. (d) SHARE OR REDISTRIBUTE. Redistribute, republish, post, upload, mirror, share, sublicense, rent, lease, lend, sell, resell, or otherwise transfer or make available copies of the Software or any portion of it (including any single skill, agent, prompt, or file) to any third party, by any means, including without limitation via public or private code repositories, package repositories, mirror sites, cloud storage, file-sharing links, forums, chat groups, marketplaces, prompt libraries, peer-to-peer networks, container registries, or installation scripts hosted on infrastructure other than Official Channels;
  5. (e) TRAIN OR FEED AI MODELS. Use the Software, the Website Content, or any part of either (i) to build, train, fine-tune, distill, evaluate, benchmark, or improve any AI Model; (ii) to create, add to, or sell any dataset, corpus, embedding index, or prompt collection; or (iii) as input to an AI Model for the purpose of reproducing, summarizing, paraphrasing, or recreating it. This does not stop you from running the Software as designed inside the AI tools it is built for, on your own work;
  6. (f) MAKE DERIVATIVE WORKS. Create, publish, or distribute any Derivative Work, including any paraphrased, rewritten, translated, summarized, reorganized, or re-implemented version of any Skill Content, Brain Data, documentation, or Website Content, whether made by hand or with the help of an AI Model;
  7. (g) REVERSE ENGINEER. Reverse engineer, decompile, disassemble, deobfuscate, or otherwise attempt to derive the source code, underlying ideas, file formats, algorithms, data structures, or non-public interfaces of the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation;
  8. (h) SCRAPE, CRAWL, OR COPY THE WEBSITES. Scrape, crawl, spider, harvest, mirror, frame, or archive the Official Channels or the Website Content by automated or manual means, or copy, reproduce, or imitate their page designs, layouts, 3D scenes, code, text, images, or selection and arrangement of sound, except that ordinary search engines may index the pages for search results under the rules in the site's robots.txt file;
  9. (i) COMPETE. Use the Software, the Website Content, or any Output, technique, or insight derived from either, to develop, train, market, sell, or operate a product or service that competes with the Software or any other product distributed by Stryx Labs;
  10. (j) REMOVE NOTICES. Remove, alter, obscure, or replace any copyright notice, license notice, trademark, proprietary marking, identifier, watermark, version stamp, file header, or attribution embedded in or accompanying the Software or the Website Content;
  11. (k) MISUSE THE TRADEMARKS. Use the Trademarks except as expressly permitted by section 2(e), and in particular not in a domain name, product name, company name, social media handle, or advertising, and not in a way that would suggest endorsement, sponsorship, affiliation, or partnership with Stryx Labs without prior written permission;
  12. (l) BYPASS PROTECTIONS. Circumvent, disable, or interfere with any technical measure that controls access to or protects the Software or the Website Content, including install checks, integrity checks, rate limits, and bot controls.

Any use not expressly permitted by section 2 is prohibited. Any attempt to do anything listed in this section is a material breach of this Agreement.

4. OWNERSHIP AND INTELLECTUAL PROPERTY

The Software is licensed, not sold. All right, title, and interest in and to the Software and the Website Content, including all copyrights, trade secret rights, trademark rights, and other intellectual property rights, are and shall remain the exclusive property of Stryx Labs and its licensors. This Agreement does not grant you any ownership interest in the Software or the Website Content.

Some parts of the Software, such as Skill Content, are delivered as text files that a person can read once installed. Being able to read a file does not make it public, free to copy, or free to reuse. Those files are licensed to you for Use only, under all the restrictions of section 3.

The source code of the compiled parts of the Software is proprietary and confidential to Stryx Labs and is not publicly distributed.

Any Derivative Work made in breach of this Agreement, and all rights in it, are owned by Stryx Labs to the fullest extent permitted by law, and you hereby assign those rights to Stryx Labs.

If you send Stryx Labs suggestions, ideas, or feedback, Stryx Labs may use them freely, without obligation to you.

The Trademarks are the exclusive property of Stryx Labs. All rights not expressly granted in this Agreement are reserved by Stryx Labs.

5. YOUR OUTPUT

As between you and Stryx Labs, the Output that the Software produces for you belongs to you, and you may use it for any lawful purpose, including commercial purposes, without restriction from Stryx Labs.

This section does not let you use Output as a way around section 3. Output that copies, reproduces, or paraphrases any part of the Software (for example, a skill's text placed into another product, or a list of the Software's prompts) is not Output for the purposes of this section and remains subject to section 3.

6. CONFIDENTIALITY

The non-public parts of the Software, including its source code, Skill Content, Brain Data, internal file formats, and any material marked or described as confidential, are confidential information of Stryx Labs ("Confidential Information"). You must keep Confidential Information confidential, use it only to Use the Software, and protect it with at least reasonable care. You must not disclose it to any third party or to any AI Model or online service that may store, publish, or learn from it, except as running the Software as designed requires.

These duties do not apply to information that you can show (a) was public through no breach by you, (b) you knew before receiving it from Stryx Labs, without a duty of confidence, or (c) you must disclose by law, after giving Stryx Labs prompt notice where the law allows.

7. THIRD-PARTY COMPONENTS

Some parts of the Software may include or be adapted from third-party material licensed under open-source or other licenses, as listed in the third-party notices that accompany the Software. Those parts are governed by their own licenses to the extent those licenses require, and nothing in this Agreement limits any right those licenses give you in those parts. The rest of the Software, including the selection, arrangement, and original material of Stryx Labs, remains governed by this Agreement.

8. UPDATES AND NEW VERSIONS

Stryx Labs may, at its sole discretion, release updates, patches, bug fixes, new features, and new versions of the Software. Such releases may be governed by the same Agreement or by an updated agreement supplied with the release.

You are not obligated to install any update. You may continue to use any version of the Software you have previously installed under the terms of the Agreement effective at the time of that installation, subject to section 9.

Stryx Labs may, at its sole discretion, discontinue, withdraw, recall, or unpublish any version of the Software, in which case you must cease use of the affected version within a reasonable period if so requested.

9. TERMINATION

This Agreement remains in effect until terminated.

This Agreement and all rights granted to you under it will terminate automatically and without notice if you breach any term of this Agreement.

Stryx Labs may terminate this Agreement at any time, with or without cause, by providing reasonable notice through Official Channels.

Upon termination, you must immediately:

  1. (a) cease all use of the Software and the Website Content;
  2. (b) destroy all copies of the Software, and of any part or Derivative Work of the Software or the Website Content, in your possession or control, including copies held in repositories, cloud storage, backups, datasets, and AI Models or indexes that you control;
  3. (c) certify in writing such destruction within ten (10) days if requested by Stryx Labs.

Termination does not limit any other right or remedy of Stryx Labs.

The provisions of sections 1, 3, 4, 5, 6, 7, 9, 10, 11, 12, 13, 14, 15, and 16 survive termination.

10. PRIVACY

The Software is designed to run entirely on your local computing device. Stryx Labs does not collect telemetry, usage data, error reports, code content, or any other personal or proprietary data from the Software's ordinary operation. Network connections, if any, are initiated only at your explicit request (for example, to check for updates).

Information you voluntarily provide to Stryx Labs (such as by emailing [email protected]) is subject to the Stryx Labs Privacy Policy available at stryxlabs.com.

11. DISCLAIMER OF WARRANTIES

THE SOFTWARE AND THE WEBSITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT.

WITHOUT LIMITING THE FOREGOING, STRYX LABS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPATIBLE WITH ANY SPECIFIC HARDWARE OR SOFTWARE, FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. YOUR USE OF THE SOFTWARE IS AT YOUR SOLE RISK.

NO ORAL OR WRITTEN INFORMATION OR ADVICE PROVIDED BY STRYX LABS OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRYX LABS, ITS OFFICERS, FOUNDERS, CONTRACTORS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, USE, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SOFTWARE, EVEN IF STRYX LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE AGGREGATE LIABILITY OF STRYX LABS UNDER THIS AGREEMENT, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) US$0.00. BECAUSE THE SOFTWARE IS PROVIDED AT NO COST, THIS LIMIT IS INTENDED AND ACCEPTED BY THE PARTIES.

This section limits the liability of Stryx Labs only. It does not limit your liability for breach of sections 3, 4, or 6, or under section 13.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of incidental or consequential damages. In such jurisdictions, the foregoing limitations apply only to the extent permitted by applicable law.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Stryx Labs, its founders, contractors, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  1. (a) your use of the Software or the Website Content in violation of this Agreement, including any breach of section 3;
  2. (b) your violation of any applicable law in connection with your use of the Software or the Website Content;
  3. (c) your infringement of any third party's rights in connection with your use of the Software or its Output.

14. ENFORCEMENT

EQUITABLE RELIEF. You agree that a breach of sections 3, 4, or 6 would cause Stryx Labs irreparable harm for which money damages would not be an adequate remedy. Stryx Labs is therefore entitled to an injunction, specific performance, and other equitable relief to stop or prevent any such breach, in addition to any other remedy, without the need to prove actual damages and, to the extent permitted by law, without posting a bond or other security.

ATTORNEYS' FEES. If Stryx Labs brings any action or proceeding to enforce this Agreement or to protect its rights in the Software or the Website Content and obtains any relief, you must pay Stryx Labs its reasonable attorneys' fees, court costs, and expenses of collection.

OTHER RIGHTS PRESERVED. A breach of this Agreement may also infringe the copyright, trademark, and other rights of Stryx Labs. Nothing in this Agreement limits any right or remedy that Stryx Labs has under copyright, trademark, trade secret, unfair competition, or other law.

COMPLIANCE CERTIFICATION. On written request from Stryx Labs, made no more than once in any twelve-month period unless Stryx Labs has reasonable grounds to believe a breach has occurred, you must within fifteen (15) days certify in writing that your use of the Software complies with this Agreement, and give reasonable information needed to confirm it.

NOTICE AND TAKEDOWN. If Stryx Labs notifies you that material you posted, hosted, or control copies or infringes the Software or the Website Content, you must remove it or disable access to it promptly, and in any case within five (5) business days. You agree that Stryx Labs may send copyright infringement notices, including notices under the U.S. Digital Millennium Copyright Act, to any host, platform, marketplace, search engine, or service provider that holds such material, and you will not send a counter-notice for material that you know breaches this Agreement.

15. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, United States of America, and applicable United States federal law, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of New Jersey, and the parties consent to the personal jurisdiction of and exclusive venue in those courts. Stryx Labs may, however, seek an injunction or other equitable relief under section 14 in any court of competent jurisdiction.

16. GENERAL

ACCEPTANCE. You accept this Agreement when you first download, install, run, access, or use the Software, or access or use the Website Content. Running an install command from an Official Channel counts as installing.

ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between you and Stryx Labs regarding the Software and the Website Content and supersedes all prior or contemporaneous understandings, communications, and representations, whether oral or written.

CHANGES TO THIS AGREEMENT. Stryx Labs may publish a new version of this Agreement on Official Channels. A new version applies to software releases supplied with it and to your use of the Website Content after it is published. Section 8 governs versions you installed earlier.

ASSIGNMENT. You may not assign or transfer this Agreement, by operation of law or otherwise, without the prior written consent of Stryx Labs. Stryx Labs may assign this Agreement at its discretion. Any attempted assignment in violation of this section is void.

SEVERABILITY. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall continue in full force and effect.

WAIVER. The failure of Stryx Labs to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. A waiver is effective only if it is in writing from Stryx Labs.

NO AGENCY. Nothing in this Agreement creates a partnership, joint venture, employment, agency, or franchise relationship between you and Stryx Labs.

HEADINGS. Section headings are for convenience only and do not change the meaning of any section.

NOTICES. Stryx Labs may provide notices to you by posting on Official Channels or by email to an address you have provided. You may provide notices to Stryx Labs by email to [email protected].

17. REPORTING MISUSE AND CONTACT

REPORTING MISUSE. Anyone who finds the Software, any part of it, or the Website Content copied, republished, rebranded, sold, used to train an AI Model, or otherwise used in breach of this Agreement may report it to Stryx Labs at the email address below. A useful report includes:

  1. (a) the web address (URL) or other location of the material;
  2. (b) what was copied or misused, and where it appears on the Official Channels or in the Software;
  3. (c) the date it was found, and a screenshot or saved copy if available;
  4. (d) the reporter's name and email address, so Stryx Labs can follow up.

Stryx Labs reviews each report and decides what action to take under section 14. Stryx Labs does not promise a reply to every report.

PERMISSIONS. Any use that this Agreement does not permit, such as quoting Skill Content in a publication, needs prior written permission from Stryx Labs. Permission is valid only if it is in writing and names the use.
